Update your legal documents

noon has launched a new document management platform, designed to give you complete control over your legal documents, including your Business Registration, VAT Certificate (if applicable), Bank Details, and Business Representative Details. Simply upload your documents to the platform, and our team will review and approve them. Once approved, you’ll have the flexibility to manage any future updates independently.

Note:

1. Updating these documents will not impact your current selling privileges or your account status. You can continue to manage your seller account as usual.

2. If you already have an approved ‘legal entity’, you need not take any further action and can operate your store as usual.

Note:

If you have multiple details to be updated in the Legal Entity, you can update all the details and then click on Submit for Approval

If you want to update only a specific section in the Legal Entity, you can update the detail for that section and click on Submit for Approval for the resubmission.

Steps to Re-Submit Your Documents:

1- Updating Commercial Registration

Updating your Commercial Registration on noon is quick and easy. You just need to follow the steps below based on your specific situation. Whether you're updating your company name, address, or other details, the process is straightforward.

Note: Updating your company name is not the same as updating your store name on noon.

Two Possible Scenarios

There are two different scenarios for updating your Commercial Registration, depending on whether your Trade License (TL) number has changed or not:

Scenario 1: License (TL) Number Has Changed

If your TL number has changed, the process will be treated as creating a new Legal Entity. follow the below process

  1. Log in to your seller account using this link.

  2. In the navigation menu, click on Store management and then click on Legal.

  3. Click on Legal Entities. Then click on Add Legal Entity.

  4. You will be redirected to the Business Registration page. Click on edit to update the details of your Trade License correctly. Then click on Continue

  5. In the next step, you are requested to confirm whether you are a VAT-registered seller or a Non-VAT-registered seller. 

    • If you select the VAT-registered seller option, you will need to update the TRN number, issue date, expiry date, and the PDF document of the VAT certificate. And then click on Continue.

    • If you select the Non-VAT registered seller option, you just need to click on Continue to proceed. 

  6. In the next step, you need to update the Full name and email ID of the point of contact or the business representative who makes the business decisions.

  7. Update the representative's ID proof, then indicate whether the name on the document belongs to the legal owner of the business. 

    • If you select Yes, click on Continue.

    • If you select No, then you need to update the Power of Attorney document and click on Continue to proceed.

  8. Once you update the representative details, you will be requested to update your payment details where you want to get your payment.

    • You can select the payment method from the drop-down

    • Then you need to update the details of the payment option and update the other requested details. Then click on Continue.

    • In case you want, you can also click on Skip for now if you want to fill in the payment details later on.

  9. The T&Cs email will be triggered to the business representative. They can review all the terms and sign the contract.

Scenario 2: Trade License (TL) Number Is the Same

If your Trade License number hasn't changed, you can update your existing Legal Entity.

  1. Click on the navigation menu, and then click on Store Management and then click Legal, and then click on Legal Entities.

  2. Click on the (>) button next to the Legal Entity that you want to update.

  3. In the Commercial Registration, click on the Edit button.

  4. In the details page that appears, update the PDF file of the Trade License. Please note that the License Issuing Authority and License Issuing Country cannot be changed. You can only update it by creating a new legal entity, as mentioned in scenario 1.

  5. Once the changes are made, just click on Save Changes.

2- Updating Tax Details

You can also update the tax detail following the same steps. 

  1. In the selected Legal Entity page, click on the Tax Details section, and click Add New.

  2. Select the country you want to declare your taxation status in  and taxation status (VAT Registered or Non-VAT Registered).

    • If VAT Registered: Select Yes, I have a VAT registration option, then fill in the details and upload the VAT document. Then click on Save changes.

    • If Non-VAT Registered: Select No, I do not have a VAT registration option, and click Save Changes.

Note for Egyptian sellers: Regardless of VAT status, you must also provide and upload your Tax Card.

Once you update the tax details, a new entry will appear with the status set to "Draft." You don't need to take any further action—our team will review it. Once approved, the previous version will be automatically deactivated.

3- Updating your Payout Method

You can update your Payout Method on the legal entity by following these simple steps:

- Click on the Payout Methods option. 

  • In case you want to update an existing payout method click on Edit button. 

  • In case you want to add a new payout method click on Add New.

- Fill in the details of the Payment method that are requested in the form. Then click on Save Changes.

4- Updating Business Representative Details

In order to update the Business representative details you can follow these simple steps.

- Click the Business Representative option and then click on Add New to add a new representative. 

- In the next step, provide identity proof (check accepted proof types here) and ensure the Business Representative's name matches the name on the Trade License.

Scenario 1:

  • If the name matches: Select “Yes” and confirm.

Once a new Authorized signatory is created, you need to click the “Edit " button of the OLD entry and click “Delete ’ before submitting for Approval.

Scenario 2: 

  • If the name doesn’t match: Select “No” and upload a Power of Attorney signed by an authorized individual. Then click on Save Changes.

5- Signing the Terms and Conditions

If you have not signed the terms and conditions for the Legal Entity you want to use yet, you need to sign them first to proceed.

- Click on the Terms and Conditions option in the legal entity. Then click on Sign Terms & Conditions. 

- In the pop-up that appears, you can select the authorised signatory. 

  • You can select and an existing authorised signatory (or)

  • Create a new authorised signatory. 

- Click on Proceed to trigger the T & Cs to the email ID of the authorised signatory.

6 - Linking the Legal Entity

Once submitted, your application will be reviewed, leading to one of two outcomes:

Outcome 1: Legal Entity Approved

You’ll receive an approval email.

At this point in time, you will need to link the Legal Entity to your store.

- In the navigation menu, click on Store Management and then click on Legal.

- In the next page, you will see a page with two tabs: Selling Origins and Legal Entities.

- The Legal Entities tab will display all the Legal Entities you have created under the project. The Selling Origins tab will display your Invoicing Profile for the store. On the Selling Origin tab, you will find a card for domestic selling. In the card, you will see a section called Select your Legal Entity – click on the (>) button.

1. If there is no Legal Entity linked:

- This will open a pop-up of all the Legal Entities available under your project. Select the desired Legal Entity (you can also create one) and click Proceed. If the Legal Entity is approved and the Terms and Conditions have been signed, it will link successfully.

Once the LE is approved and linked, you will see on the Selling Origins tab that it has been automatically sent for Eligibility Review. Eligibility review involves the team verifying that your commercial registration does include activities such as Sales, Trading, Manufacturing, or Distribution/Wholesale. LE eligibility approval can take up to 24-48 working hours

2. If you already have a Legal Entity linked & you have signed the terms and conditions:

- Click on Unlink LE.


- This will open a pop-up of all the Legal Entities available under your project. Select the desired Legal Entity.

Note: The Legal Entity needs to be approved, and you need to have signed the Terms and Agreements before you can swap the legal entity.

- Click Proceed.

- This will open up a popup to create a support ticket. Please provide a reason and click Create Support Ticket. Our relevant team will process your request and get back to you within a few business days with the change.

Outcome 2: Legal Entity Rejected

You’ll receive an email with the rejection reason.

To fix the errors, you can follow these steps:

- Once the Legal Entity is rejected, you will see the issue in the Legal Page. This information is also visible on the Setup Guide.

- Click on Fix Issue to rectify the issue and submit the LE for approval. 

- After you make changes to the Legal Entity, the Submit for Approval button will appear, which you can press to retrigger approval.
